1. Agreement to Terms

By downloading, installing, or using the eProfit mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Spoken Technologies Inc. ("Company," "we," "us," or "our").

If you do not agree to these Terms, please do not use the App.

2. Description of Service

eProfit is a mobile application that helps eBay sellers calculate profits, generate AI-powered listing content, and manage their selling activities. The App provides tools including:

• eBay fee and profit calculations
• AI-powered product identification and pricing suggestions
• AI-generated listing titles and descriptions
• Integration with eBay for listing creation
• Photo scanning and analysis

3. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use this App. By using the App, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

Certain features of the App may require you to create an account or connect your eBay account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and up-to-date

5. Subscriptions and Payments

eProfit offers subscription-based premium features ("eProfit Business"). By subscribing, you agree to the following:

• Billing: Subscriptions are billed through the Apple App Store or Google Play Store, depending on your device.
• Free Trial: We may offer a free trial period. If you do not cancel before the trial ends, you will be automatically charged for the subscription.
• Automatic Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• Price Changes: We may change subscription prices with notice. Continued use after a price change constitutes acceptance of the new price.
• Cancellation: You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period.

6. Refunds

Refund requests are handled according to our Refund Policy. As payments are processed through the Apple App Store or Google Play Store, refund eligibility is also subject to their respective policies.

7. Acceptable Use

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's operation
• Reverse engineer, decompile, or disassemble the App
• Use automated systems to access the App without permission
• Resell, sublicense, or redistribute the App
• Use the App to transmit harmful or malicious content

8. Intellectual Property

The App and its content, features, and functionality are owned by Spoken Technologies Inc. and are protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

9. Third-Party Services

The App integrates with third-party services, including eBay and AI providers. Your use of these services is subject to their respective terms and policies. We are not responsible for the content, policies, or practices of any third-party services.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The App will be uninterrupted, secure, or error-free
• Results obtained from the App will be accurate or reliable
• AI-generated content will be error-free or suitable for your needs
• Profit calculations are guaranteed to be accurate

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOKEN TECHNOLOGIES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

12. Indemnification

You agree to indemnify, defend, and hold harmless Spoken Technologies Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the App or by other means. Your continued use of the App after such changes constitutes acceptance of the new Terms.

14. Termination

We may terminate or suspend your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.
